1. About these terms

1.1 These terms form a binding agreement between you and me for any service I provide to you.

1.2 You accept these terms when you do any of the following: accept a quote in writing (including by email or message), pay a deposit or invoice, sign up for an ongoing service, or ask me to start work.

1.3 If your quote or a separate written agreement signed by both of us says something different to these terms, the quote or written agreement applies to the extent of the difference. Otherwise, these terms apply.

1.4 Nothing in these terms limits any rights you have under the Australian Consumer Law. See section 26.

2. Definitions

In these terms:

  • "I", "me" and "my" means the business trading as Harlick Industries (ABN 81 924 355 735).
  • "You" and "your" means the person, business or organisation that engages me. If you accept a quote on behalf of a business or organisation, you confirm you are authorised to do so.
  • "Quote" means my written quote, proposal or estimate describing the services, deliverables, price and any timeframes.
  • "Services" means the work I provide to you, as described in your quote or ongoing service plan.
  • "Deliverables" means the finished items I create for you under a quote, such as a website, design files, an app or printed material.
  • "Your Content" means anything you supply to me, including text, images, logos, videos, product details, data and login details.
  • "Third-Party Services" means products or services supplied by someone other than me, such as hosting providers, domain registrars, software platforms, plugins, themes, payment gateways, social media platforms and printers.
  • "Business day" means a day other than a Saturday, Sunday or public holiday in Queensland.
  • "In writing" includes email and written messages.

3. Quotes and scope

3.1 Quotes are valid for 14 days from the date issued unless the quote says otherwise. After that, I may need to re-quote.

3.2 I will provide the services described in your quote. Anything not described in your quote is not included, and I will quote it separately before doing it (see section 8).

3.3 Quotes are based on the information you give me. If that information turns out to be incomplete or inaccurate in a way that materially changes the work, I will tell you and we will agree any changes to the price or timeframe in writing before I continue.

3.4 Any timeframe in a quote is an estimate made in good faith. It depends on you supplying content, feedback and approvals on time.

4. Deposits and payment

4.1 All projects will require a deposit before work starts. The deposit amount is set out in your quote. Work is booked in, and your project is scheduled, once the deposit is received.

4.2 The deposit covers the time reserved for your project, planning and initial work, and any Third-Party Services purchased for your project at the start (such as a domain name or hosting).

4.3 Unless your quote sets out a different payment schedule, the balance is payable before your website or other deliverable goes live or is handed over to you.

4.4 Invoices are due upon receipt unless the invoice says otherwise.

4.5 Ongoing services (such as hosting, care plans and social media management) are billed in advance, monthly or annually as set out in your plan or quote.

4.6 GST is charged where applicable and is shown on your invoice.

4.7 Costs for Third-Party Services, such as stock images, plugin or software licences, platform subscriptions and printing, are passed on to you as set out in your quote. If a supplier increases their price, I will advise you before passing on the increase.

4.8 If you think an invoice may be wrong, please tell me in writing within 2 days so we can sort it out. Paying an invoice does not stop you from raising a genuine error later.

5. Late payment and suspension

5.1 If an invoice is overdue, I will send you a reminder.

5.2 If an invoice remains unpaid after its due date, I will give you written notice that I will pause work or suspend an ongoing service. If the invoice is still unpaid after that notice, I may pause work or suspend the service until payment is received. Suspension can include taking a website I host offline.

5.3 I may charge interest on overdue amounts at the Reserve Bank of Australia cash rate plus 4% per year, calculated daily from the due date until paid.

5.4 Should I need to use the services of a debt collector or take legal action to recover an overdue amount, you must pay my reasonable costs of doing so.

5.5 Ownership of deliverables does not pass to you until all amounts owing for them are paid (see section 21).

6. Your responsibilities

6.1 To keep your project on track, you agree to:

  • supply Your Content in the format I reasonably request and by the dates we agree;
  • give feedback and approvals within 2 business days of my request, unless we agree otherwise;
  • provide to me, and approve access I need, such as logins for your hosting, domain, social media pages or software, or other;
  • make sure the information you give me is accurate and complete;
  • keep your contact details up to date; and
  • pay invoices on time.

6.2 You confirm that you own, or have permission to use, all of Your Content, and that using it in your deliverables will not break any law or infringe anyone else's rights.

6.3 You are responsible for the accuracy and legality of Your Content and of the claims, prices, offers and information about your business that appear in your deliverables. You are also responsible for your business's own legal obligations, such as privacy policies, terms of sale, licences and industry rules, unless I have agreed in writing to prepare them for you. I am not a lawyer or accountant, and nothing I provide is legal, financial or tax advice.

7. Delays and inactive projects

7.1 If you are late supplying content, feedback, approvals, access or payment, any timeframe is extended by a reasonable amount, and I may need to reschedule your project around other booked work.

7.2 If I have not heard from you for 2 days despite my reasonable attempts to contact you, I may pause your project and tell you in writing.

7.3 If a paused project remains inactive for a further 5 days after I tell you it is paused, I may close the project by giving you written notice. If I do, I will invoice you for work completed and Third-Party Services purchased up to that point, less any amounts you have already paid. If that amount is less than what you have paid, I will refund the difference.

7.4 If you want to restart a closed project, I will quote the remaining work at that time. This may include reasonable costs to bring the work up to date.

8. Revisions and changes to scope

8.1 Your quote sets out how many rounds of revisions are included. A round of revisions means one consolidated list of changes from you, which I then make together.

8.2 Revisions are changes to work within the agreed scope. New pages, features, sections, designs or functions that are not in your quote are changes to scope, not revisions.

8.3 For extra revision rounds or changes to scope, I will tell you the cost and any effect on the timeframe in writing. I will only go ahead once you approve it in writing.

9. Approval, launch and sign-off

9.1 I will ask you to review and approve your deliverable before it goes live or is sent to print or handed over. Nothing goes live, to print or to handover until you approve it in writing.

9.2 Please check your deliverable carefully before approving it, including spelling, prices, contact details and other information. Once you approve it, changes are treated as new work unless they are needed to fix an error I made.

9.3 If I made an error in my work, I will fix it at no cost if you tell me within 30 days of launch or handover. This does not limit your rights under the Australian Consumer Law. This 30-day period does not cover problems caused by Your Content, changes made by anyone other than me, Third-Party Services, or updates to software, browsers or platforms after launch.

10. Websites

10.1 Every website I build includes the following as standard: a layout that works on phones, tablets and computers; a working contact form; an SSL certificate (the padlock in the browser) where the hosting supports it; basic on-page SEO, being page titles, meta descriptions and a sitemap; and set-up of hosting and your domain as described in sections 11 to 13. Anything else is included only if it is listed in your quote.

10.2 I test websites on current versions of major web browsers and common devices. I cannot guarantee that a website will display identically on every device, browser or screen size, or on outdated software or outdated/non-compatible devices.

10.3 Websites may use Third-Party Services such as WordPress, themes and plugins. These are subject to section 14.

10.4 Websites need regular updates to stay secure and working. Unless you have a care plan with me or I have agreed in writing to look after updates, keeping your website, its software and its content up to date after launch is your responsibility.

10.5 If you or someone else changes your website after handover, I am not responsible for problems caused by those changes. Fixing them is new work.

11. Hosting provided by me

11.1 If you host your website or email with me, I arrange hosting through a third-party hosting provider. Your hosting fees are set out in your quote or plan and are billed in advance.

11.2 I use reputable providers and take reasonable care, but I cannot guarantee that hosting will be uninterrupted, error-free or available 100% of the time. Outages, maintenance and faults at the provider's end are outside my direct control. I will work with the provider to restore service as soon as reasonably possible.

11.3 Backups may be made by me or the hosting provider. Unless your plan specifically includes managed backups, backups are provided as a safeguard only, and I recommend you keep your own copies of important content and data.

11.4 You must not use hosting I provide for anything illegal, harmful or in breach of the hosting provider's acceptable use rules. This includes sending spam, hosting malicious software, or storing content that infringes someone else's rights. If you do, I may suspend the hosting. Where practical, I will give you notice and a chance to fix the problem first.

11.5 Hosting resources (such as storage, bandwidth and processing) have limits. If your website regularly exceeds the limits of your plan, I will tell you and recommend an upgrade. I will not upgrade your plan or charge you more without your approval.

11.6 Hosting renews automatically at the end of each billing period. I will send you an invoice before renewal. You may cancel by giving me 30 days' written notice before the renewal date.

11.7 If you move your website to another provider, I will provide your website files and data, or assist with the move. Assistance beyond providing files is charged at my standard rate. All outstanding invoices must be paid first.

12. Using your own hosting

12.1 If you choose to use hosting that you arrange or that is provided by someone other than me ("your own hosting"), I will work with it where I reasonably can.

12.2 Not all hosting is suitable for running a modern website. Some hosting is too slow, unreliable, out of date, insecure or limited in features. If I find that your own hosting is unsuitable, I will tell you before I start building on it, or as soon as I become aware of the problem, and explain your options.

12.3 If you decide to continue with your own hosting after I have told you it is unsuitable, you accept that this may affect your website's speed, reliability, security and features, and that I cannot guarantee how your website performs on that hosting.

12.4 I am not responsible for your own hosting, including its availability, speed, security, backups, email delivery, software versions, renewals or billing. I am not responsible for downtime, data loss, security breaches or other problems caused by your own hosting or its provider, except to the extent caused by my own act or omission.

12.5 Time I spend dealing with problems caused by your own hosting, such as working around its limitations, contacting its provider, or fixing issues after a hosting fault, is not included in your quote and is charged at my standard rate. I will tell you before doing this work where it is practical to do so.

12.6 You must give me the access I need to your own hosting and keep that access current for the length of the project.

13. Domain names

13.1 Where I register a domain name for you, I will register it in your name, or your business's name, as the registrant wherever the domain rules allow. You own the domain name. I may manage it on your behalf.

13.2 Some domains, such as .com.au, have eligibility rules. You must give me accurate details so that your domain can be registered, and you are responsible for meeting those rules.

13.3 Domain names must be renewed periodically. If I manage your domain, I will invoice you before renewal. If you do not pay the renewal invoice before the renewal date, your domain may expire, and I am not responsible for any loss that results from that expiry.

13.4 If you manage your own domain, keeping it renewed and your registrant details current is your responsibility.

13.5 If you ask me to, I will provide the transfer code and assist you to move your domain to another provider, provided all amounts owing for the domain are paid.

14. Third-party services and licences

14.1 Many services rely on Third-Party Services. Your use of them is subject to the supplier's own terms, which you agree to comply with.

14.2 Third-Party Services are not supplied, owned or controlled by me. I am not responsible for their availability, faults, security, pricing, changes to their features, or their decision to discontinue a product, except to the extent caused by my own act or omission.

14.3 If a Third-Party Service changes in a way that requires work to keep your deliverable working, I will tell you and quote the work, unless your care plan already covers it.

14.4 Some themes, plugins, fonts, stock images and software are licensed rather than sold. Where I use a licence held by me, you receive the right to use that item only as part of your deliverable. Where a licence must be held in your name, I will tell you and the cost will be set out in your quote.

15. SEO, marketing and advertising

15.1 Search engine rankings, website traffic, leads, enquiries and sales depend on many factors I do not control, including search engine algorithms, competition, your market, your pricing and how you respond to customers. I do not guarantee any particular ranking, position, traffic level, number of leads or sales result.

15.2 Basic on-page SEO as described in section 10.1 is included with every website. Ongoing SEO, such as content creation, link building (backlinks), technical optimisation, local listings and reporting, is a separate service and is only included if it is in your quote or plan.

15.3 If I manage paid advertising for you (such as Google or Meta ads), your advertising spend is paid by you directly to the advertising platform unless your quote says otherwise. My management fee is separate from your advertising spend.

15.4 Advertising platforms set their own rules and may reject, limit or suspend ads or accounts. I will follow platform rules and tell you if an issue arises, but I am not responsible for platform decisions.

16. Social media management

16.1 You remain the owner of your social media accounts and pages at all times. Where possible, you will give me access through the platform's official tools for adding managers or partners, rather than sharing your personal password.

16.2 Your plan or quote sets out what is included, such as the number of posts, platforms and any community management.

16.3 Unless we agree otherwise in writing, I will prepare content in advance for your approval. Content you approve, or content prepared under an approval process we have agreed, may be published without further approval.

16.4 Unless your plan includes it, I do not monitor or respond to comments, messages or reviews on your behalf. Responding to customer enquiries and complaints remains your responsibility.

16.5 I do not guarantee any number of followers, likes, reach or engagement. Platforms change how content is shown without notice.

16.6 You must tell me promptly about anything that should not be posted, such as changes to prices, opening hours, stock or offers, or sensitive events affecting your business.

17. Apps and systems

17.1 Custom apps, dashboards and business systems I build may run on Third-Party Services, such as software platforms, databases, email providers and payment providers. Ongoing subscription costs for those services are set out in your quote and may be billed by me or by the provider directly.

17.2 Your business data stored in an app or system I build for you belongs to you. On request, and once all amounts owing are paid, I will provide an export of your data in a format the platform reasonably supports.

17.3 You are responsible for checking that information produced by an app or system, such as invoices, receipts, reports, calculations and records, is correct and meets your legal, tax and accounting obligations before you rely on or send it.

17.4 You are responsible for how your staff and volunteers use an app or system, including keeping their logins secure and removing access when someone leaves.

17.5 Apps and systems need maintenance as the platforms they run on change. Ongoing changes, fixes and new features are charged separately unless included in your plan.

18. Design and print

18.1 I will provide proofs for your approval before anything is finalised or sent to print. You are responsible for checking proofs carefully, including spelling, prices, dates, phone numbers and other details.

18.2 Once you approve a proof, I am not responsible for errors in it that you did not point out. Reprinting to correct errors in an approved proof is at your cost.

18.3 Colours can look different on screen compared with print, and between different printers and materials. Minor colour variations are not a defect.

18.4 Printing is often done by third-party printers. Print timeframes are estimates and depend on the printer. Printers may supply slightly more or fewer items than ordered, in line with normal industry practice, and you will be charged for the quantity ordered unless the shortfall is significant.

18.5 Unless your quote says otherwise, you receive the final approved files for your design. Working files and design concepts you did not choose remain mine.

19. IT support

19.1 I do not provide computer or hardware repairs. IT support is limited to the services described in your quote or plan, such as software set-up, account and email configuration, and technical advice.

19.2 Before I work on your systems, software or online accounts, you are responsible for backing up your data. Technical work carries a risk of data loss, even when reasonable care is taken. I am not responsible for loss of data that has not been backed up, except to the extent caused by my own failure to take reasonable care.

19.3 You confirm that any software you ask me to install or support is genuine and properly licensed.

19.4 Remote support will only take place with your permission, and you can end a remote session at any time.

20. Care plans and ongoing services

20.1 Each care plan or ongoing service includes only what is set out in that plan. Work outside the plan is quoted separately.

20.2 Unless your plan says otherwise, ongoing services run month to month and continue until cancelled.

20.3 You may cancel an ongoing service by giving me 30 days' written notice. If you have prepaid for a period that extends beyond the end of the notice period, I will refund the unused portion on a pro-rata basis, less any discount you received for prepaying and any non-refundable Third-Party Service costs already paid on your behalf.

20.4 Unused time or tasks in a plan do not carry over to the next period unless your plan says they do.

20.5 I may change the price or inclusions of an ongoing service by giving you at least 30 days' written notice. If you do not agree to the change, you may cancel the service before the change takes effect without any cancellation fee.

21. Intellectual property

21.1 You keep ownership of Your Content. You give me permission to use Your Content to provide the services.

21.2 All work I create and supply to you, whether for a website, social media, an app, graphic design or print, including samples, mock-ups, drafts, concepts, previews and proofs ("My Work"), is my property. Copyright in My Work is owned by me until the invoice for that work has been paid in full.

21.3 Until the invoice for My Work has been paid in full, you must not, and must not allow anyone else to:

  • copy, reproduce, publish, use or adapt My Work, other than to review it for the purpose of the project;
  • share or give My Work to another designer, web developer, agency or any other third party; or
  • use artificial intelligence (AI) tools, or any other means, to copy, recreate, imitate or generate work based on My Work.

21.4 Once the invoice has been paid in full, ownership of the copyright in the final deliverables I supplied to you under that invoice transfers to you. This transfer applies only to the final work supplied and paid for. It does not include Your Content (which you already own), My Materials (section 21.5), third-party items (section 21.6), or concepts and drafts you did not choose (section 21.7).

21.5 I keep ownership of my pre-existing and general-purpose materials, such as tools, templates, code snippets, methods and know-how, including improvements I make to them while working for you ("My Materials"). Where My Materials form part of your deliverable, you receive a permanent, non-exclusive, royalty-free licence to use them as part of that deliverable once it has been paid for. You may not separate them out and resell them.

21.6 Third-Party Services and licensed items remain owned by their creators and are used under their licences (see section 14).

21.7 Design concepts, drafts and working files you did not choose remain mine unless your quote says otherwise.

21.8 I may show your deliverables, such as screenshots and a description, in my portfolio and marketing. If you would prefer I did not, tell me in writing and I will not, or I will remove them within a reasonable time. I will not publish confidential information about your business.

22. Security, logins and access

22.1 I maintain a high standard of security and confidentiality for all client information. This includes strong, unique passwords, two-factor authentication where available, secure storage, up-to-date software, and limiting access to those who need it. No system is completely secure, so I cannot guarantee that information will never be accessed without authorisation, but I will tell you promptly if I become aware of a security incident affecting your information.

22.2 I will keep login details you give me secure and use them only to provide the services.

22.3 You should keep administrator-level access to your own accounts, such as your website, hosting, domain and social media, at all times.

22.4 If you, your staff or anyone you authorise access your website files, server, hosting account, app, admin areas or other systems, you must take the same level of care. This includes using strong, unique passwords, not sharing logins, keeping your devices and software up to date with security software, only installing files, plugins or themes from trusted sources, and checking files for viruses and malware before uploading them.

22.5 I am not liable for any loss, damage, downtime or security breach caused by a failure to take that care, such as infected or malicious files uploaded to your server, compromised passwords, or unauthorised changes made through your access. Work to investigate or fix such problems is charged at my standard rate unless your care plan covers it.

22.6 When a project or service ends, I recommend you change any passwords you shared with me. On request, I will remove my own access.

23. Confidentiality and privacy

23.1 I will keep confidential any non-public information about your business that I receive while working for you, and only use or share it as needed to provide the services or as required by law. You agree to do the same for any confidential information I share with you.

23.2 This obligation does not apply to information that is already public through no fault of the person receiving it, or that the receiving person already had or developed independently.

23.3 I handle personal information in line with my Data Protection Policy.

23.4 If a website, app or form I build for you collects personal information from your customers, you are responsible for how your business collects, uses and stores that information, including having a privacy policy where required by law.

23.5 Confidentiality obligations continue after our work together ends.

24. Subcontractors

24.1 I may use trusted subcontractors or specialist suppliers to help deliver the services. I remain responsible to you for work done by my subcontractors as if I had done it myself, and they must keep your information confidential.

24.2 You will continue to deal with me as your main point of contact unless we agree otherwise.

25. Communication and availability

25.1 My standard business hours are Monday to Friday, excluding Queensland public holidays. I aim to respond to messages within 2 business days.

25.2 Urgent or after-hours support is available only where it is included in your plan or agreed in writing, and may be charged at a higher rate.

25.3 Requests, approvals and changes should be made in writing so that we both have a clear record.

26. Australian Consumer Law

26.1 Where you are a consumer under the Australian Consumer Law, the following statement applies:

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled: to cancel your service contract with us; and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion of the contract. You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or the service.

26.2 Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law or any other law that cannot lawfully be excluded or limited.

26.3 The 30-day error-fix period in section 9.3 is in addition to, and does not replace, the rights described in this section.

27. Limitation of liability

27.1 This section applies to the extent permitted by law and subject to section 26.

27.2 Where the law allows me to limit my liability for failing to meet a consumer guarantee, my liability is limited, at my option, to supplying the services again or paying the cost of having the services supplied again.

27.3 Otherwise, my total liability to you for any claim relating to the services is limited to the total amount you paid me for the services the claim relates to in the 12 months before the claim arose.

27.4 Neither of us is liable to the other for indirect or consequential loss, including loss of profit, revenue, business opportunity or goodwill, except where the law does not allow this to be excluded.

27.5 I am not liable for loss to the extent it is caused by you, Your Content, your own hosting, Third-Party Services, or changes made by anyone other than me.

27.6 These limits do not apply to loss caused by my fraud, wilful misconduct, or breach of confidentiality.

28. Indemnity

28.1 You agree to compensate me for any loss, claim or reasonable cost (including reasonable legal costs) that I incur because of a claim by someone else to the extent it arises from Your Content infringing their rights, or from your breach of these terms or of the law.

28.2 This indemnity is reduced to the extent the loss was caused or contributed to by me.

29. Cancellation and termination

29.1 Cancellation by you. You may cancel a project at any time by telling me in writing. If you do, you must pay for work completed up to the date of cancellation and any Third-Party Service costs already committed for your project. I will apply your deposit and any other payments to those amounts. If you have paid more than those amounts, I will refund the difference within 14 days. If you have paid less, I will invoice you for the difference.

29.2 Work completed is calculated at my standard hourly rate, or by the stages set out in your quote if it has them, and will not exceed the total quoted price.

29.3 Termination by me. I may end a project or service by written notice if:

  • you have not paid an amount that is more than 7 days overdue, after I have given you notice under section 5.2;
  • you seriously breach these terms and do not fix the breach within 14 days of my written notice;
  • you ask me to do something illegal or unethical, or use the services for an illegal purpose;
  • you or your representatives are abusive, threatening or harassing towards me or my subcontractors; or
  • you become insolvent or bankrupt, or enter into administration or liquidation.

29.4 I may also end a project for any other reason by giving you 14 days' written notice. If I do, you only pay for work completed and Third-Party Service costs already committed, and I will refund any amount you have paid above that.

29.5 Termination by you for my breach. You may end a project or service by written notice if I seriously breach these terms and do not fix the breach within 14 days of your written notice. This is in addition to your rights under the Australian Consumer Law.

29.6 What happens on termination. Once all amounts owing are paid, I will hand over completed work and files you are entitled to under section 21. Sections that by their nature continue after termination, including sections 21, 23, 26, 27 and 28, continue to apply.

30. Disputes

30.1 If you are unhappy with anything, please tell me first. Most issues can be sorted out with a conversation.

30.2 If either of us has a dispute, that person must give the other written notice describing it. We will both try in good faith to resolve it within 14 days of the notice.

30.3 If the dispute is not resolved within that time, either of us may refer it to mediation through the Queensland Department of Justice Dispute Resolution service or another mediator we agree on. Each of us pays our own costs of mediation, and we share the mediator's fees equally.

30.4 Nothing in this section stops either of us from seeking urgent relief from a court, or stops you from contacting a consumer protection agency such as the Office of Fair Trading Queensland.

31. Events outside my control

31.1 Neither of us is responsible for a delay or failure to perform these terms caused by an event outside our reasonable control, such as a natural disaster, extreme weather, pandemic, widespread power or internet outage, failure of a major Third-Party Service, or government action. This does not apply to an obligation to pay money.

31.2 The affected person must tell the other as soon as practical and take reasonable steps to limit the effect. If the event continues for more than 30 days, either of us may end the affected project or service by written notice, and section 29.1 applies as if you had cancelled.

32. Changes to these terms

32.1 I may update these terms from time to time. The current version is always on this page, with the date it was last updated.

32.2 Changes apply to quotes accepted and ongoing service periods starting after the change is published. Changes do not apply to a project already underway unless you agree in writing.

32.3 If a change materially affects an ongoing service you have with me, I will give you at least 30 days' written notice. If you do not agree to the change, you may cancel the affected service before the change takes effect without any cancellation fee.

33. General

33.1 These terms are governed by the laws of Queensland, Australia. Each of us submits to the non-exclusive jurisdiction of the courts of Queensland.

33.2 If any part of these terms is found to be invalid or unenforceable, that part is removed and the rest of these terms continue to apply.

33.3 If one of us does not enforce a right under these terms straight away, that does not mean the right has been given up.

33.4 These terms, together with your quote and any written agreement signed by both of us, are the entire agreement between us about the services.

33.5 Notices under these terms may be given by email to the most recent email address the other person has provided. A notice sent by email is treated as received on the business day after it is sent, unless the sender receives a message that it was not delivered.

33.6 I am an independent contractor. Nothing in these terms creates an employment relationship, partnership or joint venture between us.

33.7 You may not transfer your rights under these terms to someone else without my written consent, which I will not unreasonably refuse.

34. Use of AI tools

34.1 I use artificial intelligence (AI) tools as part of how I work. They help me work faster and more efficiently, which keeps costs down and lets me spend more time on the parts of your project that need my judgement and experience.

34.2 AI tools may be used for tasks such as research and planning; drafting, editing and proofreading written content; creating, editing or enhancing images and graphics; writing, reviewing and testing code; building and testing apps and systems; summarising information; and preparing reports, audits and presentations.

34.3 AI does not replace me. I direct, review and check all work produced with the help of AI before it is supplied to you, and I remain responsible for the work I deliver under these terms.

34.4 I protect your information when using AI tools. I use reputable, business-grade tools, use settings that stop my inputs being used to train AI models where those settings are available, and do not enter passwords or sensitive personal information (such as financial, health or identity information) into AI tools unless it is necessary for the work and the tool is suitable for it.

34.5 Some apps or systems I build for you may include AI features, such as automated writing, summaries or chat responses. AI output can be inaccurate or incomplete, so you are responsible for reviewing it before relying on it or sending it to others (see section 17.3). Any AI service used by your app is a Third-Party Service under section 14.

34.6 Copyright law may not protect material generated entirely by AI without meaningful human input, and similar material may exist elsewhere. Where originality or exclusive rights matter to you (for example, a logo or brand mark), tell me before work starts and we will agree in writing how AI will or will not be used for that work.

34.7 If you do not want AI tools used on your project, or on particular parts of it, tell me before work starts. I will do my best to accommodate this, but it may affect the price and timeframe, which I will confirm in writing.
